The purpose of this meeting is to elect individuals to serve as Directors of the Association for a term commencing June 1, 2010 and ending May 30, 2013. Please join us for the meeting or send in the attached Proxy.

Dear HBSWANY Member,
You are invited to attend the HBSWANY
Annual Meeting of Members at 6:30 pm, on Wednesday, June 1st. The
meeting will be held in the offices of Neuberger Berman, 605 Third
Avenue, 22nd Floor, New York, NY. The meeting will be from 6:30-6:45
pm. You are invited to come for refreshments starting at 6 pm.
The
purpose of this meeting is to elect individuals to serve as Directors
of the Association for a term commencing June 1, 2010 and ending May 30,
2013.
The nominating committee recommends renewing the terms of
following board members:

& Company
Geraldine Reed-Brown, President Reed Brown Consulting
Trish
Messina, CFO Xpay
Ann Sarnoff, President Dow Jones Ventures
Amy
Vecchione, President at AVENTINA, LLC
Please let us know if you
plan to attend by e-mailing the webmaster at webmaster@hbswany.org. We
require a quorum to conduct the election of directors, so if you do not
plan to attend this meeting, we would very much appreciate you signing
and dating the accompanying Proxy
and returning it to us at 217 East 85TH Street, #199, New York, NY
10028. Each proxy is important. You may also cut and paste the
following and email it to webmaster@hbswany.org.

the HBS Women’s Association of Greater New York, Inc., a New York
not-for-profit corporation (the “Corporation”), does hereby appoint
Janet Stark and Amy Tsui Luke, or any one of them, with full power of
substitution, for me in my name, place and stead, to vote as my proxy,
as a member of the Corporation, at the Annual Meeting of Members of the
Corporation to be held on the 1st day of June 2010, and at any
adjournments thereof, for the transaction of any business that may
legally come before the Meeting, hereby ratifying and confirming all
that said attorneys or substitutes may lawfully do pursuant to this
proxy.
As a special request, we ask that you sign
and return the proxy even if you plan to attend the meeting, so that in
the event your plans change, we can still count your vote towards
achieving a quorum. Your proxy will be returned to you at the meeting so
that you can vote by ballot.
